1. Acceptance of Terms

By accessing or using HyperGL ("the Service"), operated by HyperGL LLC ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

HyperGL is a digital marketing platform that provides agencies and businesses with tools for client management, content creation, social media management, SEO analytics, project management, AI-powered content generation, and reporting. The Service is provided on a subscription basis.

3. Account Registration

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 16 years old to use the Service.
  • One person or entity may not maintain multiple free accounts.
  • You are responsible for all activities that occur under your account.

4. Workspaces and Users

Each account belongs to a workspace. The workspace owner is responsible for managing team members, client access, and ensuring all users within their workspace comply with these terms. You may invite clients and team members to your workspace under your subscription plan's limits.

5. Subscription and Billing

  • The Service offers various subscription plans with different features and limits.
  • Subscriptions are billed monthly or annually as selected at the time of purchase.
  • Payments are processed securely through Stripe. You agree to Stripe's terms of service.
  • You may upgrade, downgrade, or cancel your subscription at any time.
  • Refunds are provided in accordance with our refund policy. Contact support for details.
  • We reserve the right to modify pricing with 30 days' prior notice.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose.
  • Transmit malware, viruses, or any destructive code.
  • Attempt to gain unauthorized access to any part of the Service.
  • Scrape, crawl, or mine data from the Service for unauthorized purposes.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use AI features to generate content that is illegal, harmful, deceptive, or violates third-party rights.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation.
  • Resell, sublicense, or redistribute the Service without written permission.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you create, upload, or manage through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to host, store, and display Your Content solely for the purpose of providing the Service.

7.2 AI-Generated Content

Content generated using our AI features (text, images, SEO recommendations) is provided for your use within the Service. You are solely responsible for reviewing and approving AI-generated content before publication. We do not guarantee the accuracy, originality, or suitability of AI-generated content.

7.3 Our Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by HyperGL LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Third-Party Integrations

The Service allows you to connect third-party accounts (Google, Meta, LinkedIn, TikTok, WordPress). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services. You may disconnect integrations at any time.

9. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Service Availability

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.
  • We may perform scheduled maintenance with reasonable advance notice.
  • We reserve the right to modify, suspend, or discontinue any feature with notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELYMANT (PVT) LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless HyperGL LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your infringement of any third-party rights.

13. Termination

  • You may terminate your account at any time by contacting support or using account settings.
  • We may suspend or terminate your account for violation of these terms with prior notice when practical.
  • Upon termination, your right to use the Service ceases immediately.
  • We will retain your data for 30 days after termination to allow for data export, after which it will be deleted.

14. Dispute Resolution

Any disputes arising from these terms shall be resolved through good-faith negotiation first. If unresolved, disputes shall be settled through binding arbitration in accordance with the laws of Sri Lanka. The language of arbitration shall be English.

15. Governing Law

These terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

16. Changes to These Terms

We reserve the right to modify these terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.
